Samsung Electronics (SEC) has announced its intention to acquire the entire 10.16% stake held by Samsung Display (SDC) in TCL CSOT. The transaction, valued at approximately $960.37 million (around 6.41 billion RMB), is slated for completion in December 2026.

Samsung Display, a subsidiary of Samsung Electronics, has been a significant strategic investor in TCL CSOT, formerly known as China Star Optoelectronics Technology. SDC was established on April 1, 2012, and is headquartered in Yongin, South Korea. Its primary business areas include display solutions for mobile phones, televisions, IT products, and commercial applications. Samsung Electronics holds an 84.78% stake in SDC, with the remaining 15.22% owned by Samsung SDI.

SDC’s investment in TCL CSOT began in 2011, initially acquiring about 15% of the shares. TCL CSOT itself is the core entity for TCL Technology’s semiconductor display business, with TCL Technology owning approximately 82.82% of its shares.

A pivotal shift occurred in 2020 when Samsung Display decided to exit the LCD business. As part of this strategic move, TCL CSOT acquired a 60% stake in Suzhou Samsung Electronics LCD Panel Co., Ltd. and a 100% stake in Suzhou Samsung Display Co., Ltd. for $1.08 billion. This acquisition included an 8.5th-generation LCD panel production line with a monthly capacity of 120,000 large glass substrates, along with a related module factory capable of processing 3.5 million sets per month.

The acquisition was not entirely a cash transaction for SDC. A significant portion, $739 million of the total consideration, was reinvested directly into TCL CSOT through a capital increase. This move raised SDC’s shareholding in TCL CSOT from 5.02% to 12.33%. Subsequent capital increases diluted SDC’s stake over time, stabilizing it at the current 10.16%.

The agreement for the 2020 transaction included a specific exit mechanism. Samsung Display had the option to request TCL CSOT to repurchase its shares within three months after five years from the completion of the transaction, which was April 1, 2021. This meant the repurchase option could be exercised starting from April 1, 2026.

However, in September 2026, industry reports indicated that Samsung Display had opted not to exercise its put option, choosing instead to retain its equity in TCL CSOT. The subsequent announcement by Samsung Electronics to acquire this stake from its subsidiary, Samsung Display, marks a new chapter in the relationship between the two display technology giants. This move suggests a strategic consolidation within the Samsung group and potentially a recalibration of its long-term display strategy.

The acquisition by Samsung Electronics is expected to streamline operations and potentially enhance synergies between the two entities. While the exact implications for TCL CSOT’s future product development and market strategy are yet to be fully detailed, the transaction underscores Samsung’s continued interest in advanced display technologies and its commitment to maintaining a strong position in the global display market.
