onsemi (Ansemi) has announced a revised acquisition agreement with Synaptics, amending the terms of the deal initially announced on June 25th. The semiconductor giant will now acquire Synaptics for approximately $5.7 billion in cash, a significant adjustment from the previously agreed-upon $7 billion stock deal. This represents an 18.6% discount on the original valuation.

Shift to Cash and Price Adjustment

The change reflects a strategic shift by onsemi, moving from a stock-based transaction to an all-cash offer. This adjustment comes amidst a notable decline in onsemi’s stock price. On the day the original acquisition was announced, onsemi’s closing price was $118.74, which then dropped to $98.29 the following day. Currently, onsemi’s stock is trading around $85, marking a 28.4% decrease from the announcement day’s close and a 13.5% drop from the next day’s open.

Strategic Rationale and Shareholder Value

According to onsemi, the revision was prompted by a proactive, unsolicited competing acquisition proposal from a third party. The company anticipates that this revised cash transaction will immediately enhance its Non-GAAP earnings per share (EPS). Furthermore, onsemi aims to provide value certainty for Synaptics’ shareholders through this cash offer.

Deal Timeline and Regulatory Approvals

Despite the revised terms, the transaction is still expected to be completed by mid-2027. However, the deal remains contingent upon several conditions, including approval from Synaptics’ shareholders, necessary regulatory clearances from various authorities, and the satisfaction of other customary closing conditions. Encouragingly, the transaction has already received approval from the U.S. Federal Trade Commission (FTC). Reviews by regulatory bodies in other jurisdictions are currently ongoing.
